Curaleaf Holdings proposes unsolicited $4-per-share takeover bid for Aurora Cannabis

Curaleaf Holdings, Inc. has announced its intention to launch an unsolicited take-over bid for all issued and outstanding common shares of Aurora Cannabis Inc. at a stated implied consideration of US$4.00 per share, consisting of 0.3463 subordinate voting shares of Curaleaf plus US$0.75 in cash per Aurora Share. The proposal includes a cap on the value of consideration at US$5.00 per share. Aurora's Board intends to form a special committee of independent directors to consider the Proposal, with no decision made regarding the transaction.
