Robo.ai Inc. entered into a share purchase agreement on June 12, 2026, to acquire 100% of QC Capital Limited for US$60,000,000. The transaction will be settled via the issuance of 20,491,805 Class B ordinary shares to the sellers. While 3% of these shares will be received at closing, the remaining balance is subject to an eight-year lock-up period with releases occurring in five equal annual tranches starting on the fourth anniversary of the closing.
