Arthur J. Gallagher & Co. announced the passing of David Johnson, its Lead Independent Director and a board member for over two decades, on July 22, 2026. In response to this event, the Board reduced its size from nine to eight members effective July 23, 2026. The independent directors elected Ralph Nicoletti, who has served as Audit Committee Chair since 2019, to succeed Mr. Johnson as Lead Independent Director. Additionally, John Coldman was appointed to the Compensation and Nominating/Governance Committees. Arthur J.
