Sponsor converts all but one of its Class B shares to Class A, leaving 29,868,213 Class A and one Class B share outstanding

Aldel Financial II Inc.'s board received a notice from Sponsor Aldel Investors II LLC that, effective October 5, 2026, the Sponsor will convert all but one of its Class B ordinary shares into Class A ordinary shares on a one-for-one basis. Other Class B holders are also converting their shares on this date, waiving rights to trust account funds for these converted shares. Post-conversion, outstanding shares will consist of 29,868,213 Class A Shares and one remaining Class B Share held by the Sponsor. The Converted Class A Shares retain existing transfer restrictions.
