Bion Environmental Technologies adopted a Director Compensation Policy and amended its bylaws to establish the position of Lead Director. Non-employee directors will receive annual retainers of $50,000 for fiscal years ending June 30, 2026 and 2027, and $25,000 thereafter, payable in common stock rather than cash. The Lead Director receives an additional $25,000 retainer. These compensation grants are conditioned on the closing of a Note Conversion Financing.
