Broadwind acquires MCM for $18M base plus up to $7M earnout, expanding precision manufacturing platform

Broadwind completed the acquisition of MCM Acquisition Company Inc., a Northport, Alabama-based manufacturer of precision-machined metal components for electric utility and critical infrastructure sectors. The transaction carries an $18 million base purchase price with contingent consideration of up to $7 million based on post-closing performance targets. Broadwind financed the deal using cash on hand and additional term loan and revolving credit advances under its existing Credit Facility, which was simultaneously amended to include MCM as a borrower and extend maturity to January 2028. MCM generated approximately $16.5 million in trailing-twelve-month revenue through June 30, 2026, with an adjusted EBITDA of $3.7 million. Broadwind is a precision manufacturer of structures, equipment, and components for power generation and critical infrastructure markets.
