Appoints former executive Dwight Erdbruegger as independent contractor at $150 per hour

Cass Information Systems entered into an Independent Contractor Agreement with Mr. Dwight Erdbruegger on October 7, 2026, following his previously announced retirement. The agreement provides for general consulting services through December 31, 2026, at a rate of $150 per hour, payable monthly. It includes customary covenants regarding non-competition and confidentiality. Additionally, Mr. Erdbruegger receives full vesting on all 2,318 time-based restricted stock units previously granted under a February 3, 2026 agreement.
