Cognex Corporation announced a definitive agreement to acquire RealSense, Inc., a leader in depth-sensing cameras and vision technology for robotic perception, for an all-cash purchase price of $500 million. The transaction is expected to close during the fourth quarter of 2026, subject to customary closing conditions, and will be funded entirely from Cognex's existing cash and investments. To retain key talent, Cognex intends to grant restricted stock units valued between $45 million and $55 million and provide up to $69 million in cash retention payments over three years. Prior to closing, RealSense will spin out its Facial Authentication product line into an independent company. Cognex Corporation operates in the industrial machine vision industry, providing automated visual inspection systems for manufacturing.
