CollPlant Biotechnologies Ltd. entered into a Share Purchase Agreement on August 29, 2026, to acquire LightSolver Ltd., a developer of photonic computing technology. The acquisition is expected to close in late August 2026. Consideration includes 3,734,476 ordinary shares (19.7% of pre-transaction outstanding shares), pre-funded warrants for 6,134,363 shares, and milestone-based warrants for up to 224,078,345 shares. Roli over options for 2,261,966 shares were also issued. Dr. Ruti Ben Shlomi joined CollPlant's board upon closing. This transaction marks CollPlant's entry into the supercomputing and photonics markets while maintaining its regenerative medicine business.
