CenterPoint Energy sells Ohio natural gas unit to National Fuel Gas for $2.62 billion

CenterPoint Energy completed the sale of its Ohio natural gas utility business, Vectren Energy Delivery of Ohio, LLC, to National Fuel Gas Company for $2.62 billion on October 1, 2026. The transaction consideration consists of $1.42 billion in cash and a $1.20 billion promissory note bearing interest at 6.50% per annum, maturing September 30, 2027. The divested assets include approximately 5,900 miles of pipeline serving roughly 335,000 customers in West Central Ohio. CenterPoint intends to use the proceeds to fund its $66.7 billion ten-year capital plan and enhance infrastructure resiliency. CenterPoint Energy is an investor-owned electric and natural gas utility operating primarily in Texas, Indiana, and Minnesota.
