Effective July 14, 2026, Michael Jennings and Zamir Rauf were appointed to the Board of Directors of Cheniere Energy Partners GP, LLC. Mr. Jennings, former CEO of HF Sinclair Corporation, joined the Conflicts and CMI SPA Committees. Mr. Rauf, former CFO of Calpine Corporation, joined the Conflicts, Audit, and Executive Committees. Both directors received an annual cash fee of $100,000 and an annual equity award of $200,000 in phantom units. Concurrently, James R. Ball and Oliver G. Richard, III resigned from the Board; neither resignation resulted from any disagreement with management. The company operates in the energy industry as a master limited partnership focused on liquefied natural gas infrastructure.
