Cosan announced a voluntary delisting of its American Depositary Shares from the NYSE and plans to deregister with the SEC following the completion of corporate restructuring measures. The Board approved executive changes, with José Cezário Menezes de Barros Sobrinho replacing Rafael Bergman as CFO effective September 1, 2026. Cosan also called an Extraordinary General Meeting to approve a spin-off and merger of Radar II Propriedades Agrícolas S.A., transferring net equity valued at R$2.57 billion to Cosan and Mansilla Participações Ltda. by October 1, 2026, to simplify its organizational structure without diluting shareholders. Additionally, the company introduced new debt service interest coverage guidance targeting a range of 0.8x to 1.2x by fiscal year-end 2026. Cosan operates in the energy and agribusiness sectors, producing sugar, ethanol, fuels, and managing agricultural real estate.
