Court enjoins Corteva from paying dividends or repurchasing shares pending appeal of separation challenge
CTVACorteva, Inc.
A U.S. District Court issued a temporary restraining order enjoining Corteva, Inc. and its subsidiary EIDP, Inc. from disposing of assets outside the ordinary course of business, as well as from paying dividends or repurchasing common stock. The injunction stems from litigation filed by 15 states and one sovereign entity challenging the October 1, 2026 separation of Corteva and Vylor Inc. into two independent companies. Although the court stayed the order pending an emergency appeal to the Seventh Circuit, the restriction remains in effect while the motion is resolved. Corteva intends to vigorously defend against the claims. The company operates in the agriculture industry, providing seeds, crop protection products, and digital solutions.
