Davion Healthcare completes $25M acquisition of WoundSkan and Spektra IP

Davion Healthcare completed the acquisition of intellectual property for WoundSkan, a battery-free smart wound dressing, and the Spektra Lateral Flow Test, a rapid multi-marker screening platform. The total consideration is US$25 million, consisting of US$2.5 million in cash payable by February 19, 2027, and 1,730,770 new ordinary shares valued at US$13.00 per share. Shares will be issued after a 90-day deferral period ending January 20, 2027, subject to a subsequent 90-day leak-out restriction limiting sales to 10% of average daily volume. Davion Healthcare is a next-generation digital healthcare company developing proprietary, non-invasive health monitoring technologies.
