Embraer proposes 5% dilution cap for new multimodal stock-based long-term incentive plan

EMBJEmbraer S.A.

Embraer S.A. is seeking shareholder approval at an Extraordinary Shareholders’ Meeting on November 30, 2026, to adopt a new Stock-Based Long-Term Incentive Plan (LTI Plan). The proposal replaces the existing cash-settled phantom share model with a multimodal structure allowing the Board of Directors to grant equity-based instruments such as stock options, restricted stock units, and performance share units. The plan caps total dilution at 5% of fully diluted capital stock over a ten-year term and excludes board members from participation. Embraer S.A. is a global aerospace company that manufactures commercial, executive, and defense aircraft.
