EZRAReliance Global Group, Inc.
Reliance Global Group entered into a non-binding letter of intent to acquire the assets, intellectual property, and customer relationships of a privately held technology company's GPU cloud and marketplace business. The proposed asset purchase carries an aggregate consideration of up to $3,750,000, payable entirely in cash. The structure includes $3,000,000 paid at closing, with the remaining $750,000 split between a six-month escrow release contingent on revenue milestones and a twelve-month payment subject to performance goals. An additional $250,000 consulting fee is owed to the seller's founder. The company intends to rebrand as GPU Exchange and change its Nasdaq ticker to XGPU upon closing, anticipated in early November 2026. Reliance Global Group operates insurance and technology businesses.
