Forte Biosciences, Inc. completed its acquisition by argenx BV on August 27, 2026, following the expiration of a tender offer for all outstanding shares at $77.00 per share in cash. Approximately 87.13% of shares were validly tendered, satisfying conditions for the merger under Section 251(h) of the Delaware General Corporation Law without a stockholder vote. The total transaction value was approximately $2.2 billion, funded by argenx's cash on hand. All outstanding options and restricted stock units were canceled in exchange for cash consideration based on the offer price. Consequently, Forte Biosciences became a wholly owned subsidiary of argenx, resulting in a change in control. The entire board of directors and all officers ceased their roles, replaced by appointees from argenx. Trading was suspended, and the company intends to delist its common stock from Nasdaq and terminate its SEC reporting obligations. Forte Biosciences operates as a biotechnology company focused on developing therapies for autoimmune diseases.
