Four Leaf Acquisition Corporation terminated its Business Combination Agreement with Guangzhou Xiaoyu DiDa Technology Co., Ltd (XYDD) effective July 15, 2026. The termination was prompted by regulatory reviews under PRC law and allows the company to pursue a proposed business combination with Data443 Risk Mitigation, Inc. To facilitate the termination, Data443 agreed to issue a $2,000,000 promissory note to XYDD. The loan is payable in two interest-free installments within 90 and 120 days of the deal close, though unpaid balances accrue 15% simple interest. The company is not liable for any termination fees.
