Fathom Holdings terminates merger with NXH and amends convertible notes
FTHMFathom Holdings Inc.
Fathom Holdings and Neighborhood Intelligence mutually terminated their previously announced merger agreement on October 5, 2026, citing that current valuations did not reflect the fair value of either company. The termination is mutual with no termination fee owed. Concurrently, Fathom entered into a Second Omnibus Amendment to its Senior Secured Convertible Promissory Notes, extending the maturity date from October 1, 2026, to November 1, 2026. The amendment also lowered the conversion price from $4.25 to $0.65 per share and increased the interest rate to 18% per annum. Fathom and NXH intend to explore strategic collaboration, including data sharing, while remaining independent entities. Fathom Holdings Inc. is a national, technology-driven real estate services platform that integrates residential brokerage, mortgage, title and SaaS offerings.
