HWH International Inc. entered into a Stock Purchase Agreement to acquire all shares of Hearty Nova Limited for $1.00 from majority stockholder Smart Dynamics Technology Limited. Hearty Nova holds a 51% stake in China Gas Africa Clean Energy Investment Holdings Limited, a joint venture with China Gas Holdings Limited intended to develop a natural gas processing plant in Nigeria. The Company anticipates investing US$1,173,000 in the JV through Hearty Nova. Additionally, the Board approved changing the company's name from HWH International Inc. to EnerSyn Global Inc. to reflect expansion into global energy resources and digitalization infrastructure. Previously, the Company regained compliance with Nasdaq’s minimum stockholders’ equity requirement following a $10 million capital raise from Smart Dynamics in August 2026.
