IPM agrees to acquire AdTech IT business for up to $2.7 million in cash and stock

Intelligent Protection Management Corp. entered into a Unit Purchase Agreement to acquire Advanced Technology Distributors Inc.'s information technology, telecommunications, connectivity, managed services, and infrastructure solutions business through its subsidiary JVCo. The transaction is structured in two stages: an initial 49% acquisition for $750,000 cash upon California Public Utilities Commission approval of a license transfer, followed by the remaining 51% for up to $2 million in cash, a $600,000 seller note, and potential stock or earnout payments. The deal expands IPM's managed services capabilities and recurring revenue base.
