On July 10, 2026, International Stem Cell Corporation entered into a Membership Interest Purchase Agreement to sell 100% of Lifeline Cell Technology, LLC (LCT) to American Type Culture Collection, Inc. for an aggregate purchase price of $25.0 million, subject to adjustments for net working capital, cash, and indebtedness. The transaction includes a $100,000 adjustment escrow and a $2.5 million indemnity escrow.
