Jack in the Box Inc. entered into a First Amendment to its Nomination and Cooperation Agreement with GreenWood Investors, LLC, extending the term through the 2028 annual meeting nomination window while maintaining standstill and voting provisions. The amendment caps the Board size at nine directors without GreenWood's consent and requires good faith consultation on new director appointments. Additionally, Jack in the Box appointed Rachel Ruggeri, former Starbucks CFO, as an independent director effective September 17, 2026, to continue board refreshment efforts. Michael Murphy announced his retirement from the Board, with his term expiring at the 2027 Annual Meeting of Stockholders. The company also agreed to hold an investor event by June 30, 2027, and provide GreenWood with advance copies of related materials. Jack in the Box Inc. operates and franchises a major hamburger restaurant chain.
