K-Tech Solutions agrees to acquire Flourish Ventures for 43.8M shares

K-Tech Solutions Company Limited entered into a Sale and Purchase Agreement on October 14, 2026, to acquire 100% of the equity interest in Flourish Ventures Trading Pte Ltd. The consideration consists of the issuance of 43,800,000 Class A ordinary shares. Flourish Ventures is a Singapore-based international trading group engaged in the wholesale trading of consumer and industrial products, including hardware for outdoor activities exported to the United States. The transaction was approved by the Audit Committee and is expected to close on or before October 31, 2026, subject to customary closing conditions. K-Tech Solutions Company Limited designs, develops, tests, and sells a diverse portfolio of toy products.
