LogicMark, Inc. entered into an Agreement and Plan of Merger with Langham Project, LLC on July 31, 2026, under which a subsidiary will merge with the company. Upon completion, each share of common stock will be cancelled and converted into $1.31 in cash. Outstanding warrants will be redeemed, and options will be exercised for the excess value over their strike price. The company also expects to pay approximately $2 million plus accrued interest to Series C preferred shareholders from existing cash reserves. Parent will cover $1.5 million in transaction fees, while a $150,000 termination fee applies if LogicMark exercises its fiduciary out right before shareholder approval. The merger requires majority shareholder approval excluding Series J shares and is contingent on the company ceasing public reporting status via Form 15 filing.
