ContextLogic Holdings Inc. announced the acquisition of gChem for $850 million in cash, subject to customary closing conditions including Hart-Scott-Rodino antitrust clearance and an outside date of May 1, 2027 (extendable to June 30, 2027). The transaction is financed by $870 million in equity commitments from investors including BCP Special Opportunities Fund III Originations LP and Abrams Capital Partners, alongside a $250 million term loan and $25 million revolving credit facility led by Blackstone Credit & Insurance. A portion of the equity financing will be provided through a proposed rights offering fully backstopped at $9 per unit. ContextLogic also reported preliminary Q2 2026 revenue of $33.6 million, essentially flat year-over-year, with gross profit declining to $12.5 million from $13.7 million due to lower sales volumes offset by higher average prices. The company operates as a publicly traded business ownership platform that acquires and manages niche, competitively advantaged businesses.
