Appoints Tara Poseley to Board of Directors, expanding board size from twelve to thirteen members

The board of directors appointed Tara Poseley as a Class II director effective October 19, 2026. This appointment expands the board from twelve to thirteen members and fulfills obligations under a cooperation agreement with founder Dennis J. "Chip" Wilson dated May 26, 2026. Ms. Poseley brings over 30 years of experience in specialty retail and apparel, having previously served as Chief Product Officer at lululemon and CEO of Paula's Choice Skincare. She will serve on the People, Culture and Compensation Committee.
