Paul Varga resigns as director; Deirdre Connelly named Lead Independent Director

Macy's Inc. announced that Paul C. Varga has notified the company of his decision to resign from its Board of Directors, effective December 11, 2026. Mr. Varga served on the board since 2012 and as Lead Independent Director since 2021. The resignation was not due to any disagreement with management or operations. Concurrently, the board elected Deirdre P. Connelly to succeed Mr. Varga as Lead Independent Director, effective December 12, 2026. Following the departure, the board size was fixed at nine directors. Macy's Inc. operates a department store chain in the United States.
