DataMeds AI enters non-binding LOI to acquire IP and Tollo Health for ~89.5% ownership

DataMeds AI entered a non-binding Second Amended and Restated Letter of Intent to acquire Quality of Life Peace of Mind intellectual property from EOS Technology Holdings and Scilex, expand its license with Datavault AI, gain a controlling interest in Tollo Health (d/b/a Health Lives Here), and license technology from REBOOT Health AI. In exchange for these assets, DataMeds will issue common stock such that the sellers and partners are expected to own approximately 89.5% of the company on a fully diluted basis post-closing. The transaction is subject to definitive agreements, stockholder approval, Nasdaq compliance, and a liability reduction framework limiting indebtedness to $2 million. DataMeds operates in the healthcare technology sector, integrating artificial intelligence, blockchain, and telemedicine platforms with pharmacy distribution.
