MKDWELL Tech Inc. entered into a definitive agreement on July 17, 2026, to acquire Landvision Inc., a developer of AI-enabled smart-home and Internet-of-Things products. The transaction will be satisfied by issuing 30,000,000 new ordinary shares at $8.00 per share, totaling $240,000,000 in consideration. Upon completion, these new shares will represent approximately 87.72% of the company's enlarged issued ordinary shares. Certain vendors have agreed to a 24-month staggered lock-up on 26,000,000 of the shares. The acquisition aims to diversify the company's portfolio beyond automotive electronics into the consumer smart-home sector. Completion is expected around August 2026.
