Matternet amends bylaws to lower stockholder meeting quorum threshold from majority to one-third

The board of directors amended and restated the company's bylaws effective October 22, 2026. The change reduces the quorum requirement for stockholder meetings from a majority of voting power to one-third (1/3) of outstanding shares entitled to vote. This applies to both general business transactions and separate class votes, unless otherwise required by law or the certificate of incorporation. Matternet develops autonomous drone delivery systems.
