Navigator Holdings proposes redomicile to England and Wales via merger with Navigator Gas plc
NVGSNavigator Holdings Ltd.
Navigator Holdings Ltd. has filed a proxy statement for a special shareholder meeting on November 16, 2026, to vote on an agreement and plan of merger that would effectively change the parent company's place of incorporation from the Marshall Islands to England and Wales. Under the proposed transaction, Navigator Holdings will merge with and into Merger Sub, a wholly owned subsidiary of Navigator Gas plc (Navigator-UK), causing Navigator Holdings to cease existing while Navigator-UK becomes the publicly traded parent company. Each holder of Navigator Holdings common stock will receive one ordinary share of Navigator-UK in exchange for each common share held, with no dilution to economic interests. The merger is subject to shareholder approval and other customary conditions, including SEC effectiveness of a registration statement on Form F-4. If approved, the transaction is expected to close in the fourth quarter of 2026. Navigator Holdings Ltd. operates as a holding company for a fleet of liquefied gas carriers.
