On July 23, 2026, Organon & Co. stockholders approved a merger agreement dated April 26, 2026, with Sun Pharmaceutical Holdings USA, Inc. Under the terms, Sun Pharma America, Inc. will merge into Organon, with Organon surviving as a wholly owned subsidiary of Sun Pharma USA. Stockholders also approved, on a non-binding advisory basis, the merger-related compensation for named executive officers. The merger proposal passed with 192,776,552 votes in favor and 2,573,118 against.
