Shareholders reject proposal to allow special meetings at Paychex

At its October 15, 2026 annual meeting, Paychex shareholders voted on four proposals. Ten director nominees were elected to one-year terms. The advisory vote on executive compensation passed with strong support. Shareholders ratified PricewaterhouseCoopers LLP as the independent auditor for fiscal year 2027. A stockholder proposal seeking an attainable right to call a special meeting was rejected, receiving approximately 142.9 million votes in favor against approximately 146.5 million opposed. Paychex provides payroll, human resources, and benefits administration services.
