Penguin Solutions has entered into a definitive agreement to sell its Optimized LED segment, known as the Cree LED business, to Transom Crystal AcquireCo, LLC, an affiliate of Transom Capital Group. The divestiture is structured as an all-cash acquisition and was approved by Penguin's Board of Directors. The transaction is expected to close in the first calendar quarter of 2027, subject to customary closing conditions. This move aligns with Penguin's strategy to transform into a pure-play data center AI infrastructure solutions company, allowing it to focus resources on its Full-Stack AI Factory Platform. Cree LED represents approximately 10% of the Company’s total projected fiscal 2027 net sales. The company reaffirmed its previously issued financial outlook for full-year fiscal 2027. Penguin Solutions designs and builds next-generation data centers for enterprises, sovereign AI initiatives, and neocloud providers.
