Effective July 1, 2026, Polomar Health Services, Inc. underwent significant governance restructuring. Directors David Spiegel and Terrence M. Tierney resigned, leading to the election of George Hornig, Alexandra Peterson, Gabrielle Toledano, and George Caruolo to a reconstituted five-member Board. George Hornig was appointed Executive Chairman, while Terrence M. Tierney assumed the role of Interim CEO. Timothy M. Papp was appointed Secretary and General Counsel. The Board established a Special Committee to evaluate a proposed acquisition of intellectual property and assets from entities affiliated with Series A Convertible Preferred Stock holders. Additionally, the company amended its equity incentive plan to reduce the annual evergreen share increase from 10% to 3% and adopted amended and restated bylaws.
