John E. Stokely elected lead independent director; David G. Whalen steps down from role

Pool Corporation's Board of Directors elected John E. Stokely as lead independent director on October 28, 2026, after determining he meets Nasdaq independence standards. Consequently, Stokely ceased serving as Executive Chair but remains Chair of the Board. David G. Whalen stepped down from his role as lead independent director to continue chairing the Nominating and Corporate Governance Committee. Effective October 28, additional fees for the Executive Chair and lead independent director roles were discontinued.
