At the 2026 Annual Meeting of Stockholders held on June 24, 2026, Quantum Computing Inc. stockholders approved an amendment to the 2022 Equity and Incentive Plan to increase authorized shares under the Plan from 20,000,000 to 30,000,000 and change the annual evergreen provision to a 2% annual increase. Additionally, stockholders' approval of a Certificate of Amendment to the Certificate of Incorporation, effective June 29, 2026, increased the total authorized shares of capital stock from 260,000,000 to 460,000,000, consisting of 450,000,000 shares of Common Stock and 10,000,000 shares of Preferred Stock.
