Ruanyun signs exclusive Cogni AI license deal with BGLC for Malaysia healthcare, receiving 560k shares and 10% royalty

Ruanyun Edai Technology Inc. entered into a definitive agreement to grant BioNexus Gene Lab Corp. an exclusive ten-year license (renewable up to twenty years) for its Cogni AI document-intelligence platform in the Malaysian healthcare sector. At closing, BGLC will issue Ruanyun 560,000 of its common shares—410,000 as license consideration valued at $3.5 million contractually and 150,000 via reciprocal share exchange—and pay a 10% royalty on qualifying technology receipts. The transaction remains subject to closing conditions including regulatory approvals and technology acceptance testing.
