Presidio issues ~823,753 shares to exchange 15.4% of Series D Preferred Stock

Presidio Property Trust completed an exchange offer for its 9.375% Series D Cumulative Redeemable Perpetual Preferred Stock. Of the 973,736 outstanding preferred shares, 149,773 (approximately 15.4%) were tendered and accepted. Holders received 5.5 newly issued shares of Series A Common Stock for each preferred share exchanged, resulting in an aggregate issuance of approximately 823,753 common shares. Settlement is expected on October 6, 2026. Approximately 823,963 shares of the preferred stock will remain outstanding following the transaction.
