TEG Overseas acquires Uzbek hospitality group owning Hilton Tashkent and Wyndham Bukhara for 183M shares

StageWise Strategies Corp. completed a share exchange transaction on October 13, 2026, acquiring approximately 99.99999% of TEG SPV LLC in exchange for issuing 183,098,434 shares of common stock to the sellers. The acquisition makes TEG SPV a wholly-owned subsidiary and shifts the company's principal business to hospitality and exhibitions. The acquired assets include the Hilton Tashkent hotel (258 rooms), Wyndham Bukhara hotel (212 rooms), and the Central Asian Expo exhibition center in Uzbekistan. Following the transaction, the registrant changed its name to TEG Overseas, Inc., and controlling ownership transferred to related parties holding approximately 97.3% of the outstanding shares.
