TNMGTNL Mediagene
TNL Mediagene completed the sale of its Japanese subsidiary, TNL Mediagene Inc., to MI Company Inc., an acquisition vehicle for a group led by former Chief Executive Officer Motoko Imada. The aggregate consideration is $5.5 million, paid via approximately $3.85 million in cash, $0.15 million through net intercompany debt set-off, and $1.5 million through the extinguishment of promissory notes. In connection with the closing on October 30, 2026, Motoko Imada and Hiroto Kobayashi resigned from the Board, while Imada, Hiroyuki Terao, and Aya Miyake stepped down as CEO, CFO, and Chief Governance Officer, respectively. The transaction allows the company to focus on its Taiwan operations and demonstrates compliance with Nasdaq's $2.5 million stockholders' equity requirement.
