Track Group, Inc. entered into a Contribution and Exchange Agreement with its wholly-owned subsidiary, Track Group Holdings, LLC, transferring ownership of several subsidiaries including Track Group Americas, Inc., Track Group Analytics Ltd., Track Group – Puerto Rico Inc., and Emerge Monitoring, Inc. to the new subsidiary. Concurrently, Track Group Holdings executed a Joinder Agreement to join an existing Credit Agreement dated April 30, 2026, with Chatham Capital Management as administrative agent. Under this arrangement, Track Group Holdings became a grantor and guarantor under the Guaranty and Collateral Agreement, assumed obligations under the Master Intercompany Note, and pledged its interest in the contributed subsidiaries as collateral to secure the company's debt facilities. This restructuring supports the company's existing financing commitments with Chatham Capital Management.
