LendingTree appoints no new General Counsel as Heather Novitsky departs effective Dec 31

Heather Novitsky will step down as General Counsel of LendingTree, LLC on December 31, 2026. She will remain a non-executive employee providing transition services until March 12, 2027, when her employment ends without cause. The Board approved Tier A severance benefits under the Executive Severance Pay Plan, contingent upon signing a release of claims and adhering to restrictive covenants. Concurrently, the Board adopted amendments to the company's bylaws effective October 27, 2026, updating provisions for hybrid meetings, advance notice requirements, and Delaware law compliance.
