Vinci Compass agrees to acquire AustralRe for R$336M in cash and stock
VINPVinci Compass Investments Ltd.
Vinci Compass Investments Ltd. announced an agreement to acquire 100% of Austral Resseguradora (AustralRe), a leading independent reinsurance platform in Latin America, for total consideration estimated at R$336 million. The transaction is priced at 1.0x Tangible Book Value and will be composed of approximately R$247 million in cash and 1.7 million new VINP Class A common stock. Upon closing, expected in the first quarter of 2027 subject to regulatory approvals, AustralRe will anchor a new business vertical called Vinci Permanent Capital Solutions (VPCS), separating the balance sheet reinsurance operations from the asset-light Asset Management division. The deal is expected to be immediately accretive to Distributable Earnings per share on a double-digit basis and aims to provide a stable source of long-term capital to support Vinci Compass' general partner commitments across Latin America. Vinci Compass operates as an alternative investments and global solutions provider in Latin America.
