Vertiv Holdings Co announced the acquisition of Utility Innovation Holdings Inc. (UIG) via a merger with its subsidiary, Vertiv Corporation. The transaction involves approximately $1.45 billion in upfront cash consideration at closing, plus up to $1.15 billion in contingent earnout payments based on UIG achieving specific EBITDA targets over 12- and 24-month periods. At the base purchase price, the deal represents roughly 13 times expected 2027 EBITDA for UIG. Vertiv intends to fund the acquisition from existing resources, with closing expected in the fourth quarter of 2026 subject to regulatory approvals including Hart-Scott-Rodino waiting period expiration. The acquisition adds microgrid controls and behind-the-meter power architecture to Vertiv's portfolio, aiming to accelerate time-to-power for AI data centers. Vertiv Holdings Co operates in the critical digital infrastructure industry, providing power, cooling, and IT infrastructure solutions for data centers.
