VivoPower PLC announced on August 3, 2026, the complete retirement of US$28.8 million in shareholder debt principal owed to AWN Holdings Limited, an entity affiliated with Executive Chairman Kevin Chin. The transaction eliminates all outstanding principal obligations under the historical AWN shareholder loan facility. US$16.5 million was retired through founder participation in a recently closed US$50 million PIPE 2 transaction, involving the issuance of 165,000 convertible preference shares to AWN with a six-month lock-up period. The remaining US$12.3 million balance was repaid concurrently using cash balances. This related party transaction, approved by independent board members, removes a long-standing balance sheet overhang and eliminates associated interest expenses, strengthening credit quality ahead of the company's Nordic AI infrastructure platform buildout. VivoPower is a global developer and owner of powered land and data center infrastructure for AI compute applications.
