VisionWave Holdings forms 50/50 joint venture with Sadot Group for $7.8M to acquire 51% stake in C.M. Composite Materials

VisionWave Holdings, Inc. entered into a Joint Venture and Operating Agreement with Sadot Group Inc. to establish CMJV LLC as a 50/50 joint venture holding VisionWave’s rights to acquire a 51% controlling interest in C.M. Composite Materials Ltd. (CM). At closing on September 30, 2026, VisionWave contributed its $7.81 million loan and acquisition rights to CMJV in exchange for 7,814,323 membership units. Sadot committed $7,814,323 in cash capital and issued 250,000 restricted shares of its own common stock as an entry premium. The joint venture will fund further advances to CM under a secured loan agreement increased to $16,628,646. This strategic partnership facilitates the pending acquisition of the Israeli composite materials manufacturer.
