Xenetic Biosciences, Inc. entered into a definitive Share Exchange Agreement on September 14, 2026, to acquire Santersus AG in an all-stock transaction expected to close in the fourth quarter of 2026. Upon closing, Santersus shareholders will own approximately 85% of the combined company, which will be renamed Santersus Bio, Inc., and trade on Nasdaq under the symbol “SNTS.” The merger combines Xenetic’s DNase technology with Santersus’ NucleoCapture® platform to target neutrophil extracellular traps (NETs) across critical care, autoimmune disease, transplantation, and oncology. The combined entity will hold four first-in-class clinical programs, including pivotal-stage initiatives in sepsis and systemic lupus erythematosus that have received FDA Breakthrough Device Designation. Xenetic stockholders are expected to retain approximately 15% ownership post-transaction.
