XAI Floating Rate & Alternative Income Trust shareholders approved a new investment sub-advisory agreement with Rockford Tower Asset Management, L.L.C. at a reconvened special meeting on August 6, 2026. The agreement was formally executed on August 10, 2026, following final vote certification. It establishes an initial two-year term, renewable annually by the Board of Trustees or shareholders and independent trustees. Terms are substantially similar to the interim arrangement but with a defined duration. Either party may terminate without penalty upon 60 days' written notice. The agreement terminates automatically upon assignment or termination of the primary investment advisory agreement.
